General Terms and Conditions

1. Scope of application

These General Terms and Conditions (GTC) govern all business relationships between huvi.swiss KIG, Seilerstrasse 15, 5742 Kölliken, Switzerland (hereinafter “HUVI.SWISS”), and its customers.

These GTC apply to all services, products and offers of HUVI.SWISS, in particular in connection with autonomous wildfire early warning systems, software platforms, pilot projects, as well as planning, installation and operational services.

These GTC apply exclusively to business customers (B2B). Deviating or supplementary terms and conditions of the customer shall apply only if expressly agreed to in writing by HUVI.SWISS.


2. Services of HUVI.SWISS

HUVI.SWISS develops, delivers and operates autonomous systems for wildfire early detection, in particular the products HUVI.GUARDIAN and HUVI.FIREWATCH, as well as related services such as planning, installation, integration, operation, pilot projects and support.

The specific scope of services results from the respective offer, contract or project description. Information provided on the website or in marketing materials is for informational purposes only and does not constitute a binding commitment.


3. Conclusion of contract

Offers made by HUVI.SWISS are non binding and subject to change. A contract is concluded only upon written confirmation by HUVI.SWISS or by means of a separate contract.

Pilot projects, tests and demonstrations are considered development or test operations and are subject to special framework conditions agreed on a project specific basis.


4. Use of the systems

The systems of HUVI.SWISS serve to support the early detection of smoke and potential fire events. They do not replace organisational, operational or statutory obligations of the customer.

Responsibility for the use of the systems, the assessment of alerts and the measures derived therefrom lies exclusively with the customer.


5. Availability and operation

HUVI.SWISS strives for high availability of the systems but cannot guarantee uninterrupted operation. Maintenance work, updates, further developments or technical adjustments remain reserved.

Natural conditions, environmental factors, visibility, energy availability or external influences may affect system performance.


6. Customer cooperation obligations

The customer shall ensure that all information, access and cooperation required for the provision of services are provided in a timely and complete manner.

The customer is responsible for compliance with safety regulations, official requirements and site specific conditions.


7. Liability

HUVI.SWISS shall be liable exclusively for damages caused by intentional misconduct or gross negligence.

Liability for indirect damages, consequential damages, loss of profit, business interruptions or damages resulting from natural events is excluded to the extent permitted by law.

In particular, HUVI.SWISS assumes no liability for damages caused by fires or smoke development despite the use of the systems.


8. Warranty

HUVI.SWISS warrants that the delivered systems correspond to the current state of the art. No guarantee is given for complete, error free or continuous detection of smoke or fires.

Environmental, weather and terrain conditions may influence detection performance and do not constitute a defect.


9. Intellectual property

All rights to software, hardware, algorithms, designs, documentation and concepts remain with HUVI.SWISS or the respective rights holders.

Any reproduction, distribution or use beyond the agreed purpose is not permitted without the express consent of HUVI.SWISS.


10. Data protection

The processing of personal data is carried out in accordance with the HUVI.SWISS Privacy Policy. This Privacy Policy forms an integral part of these GTC.


11. Contract duration and termination

Unless otherwise agreed, contracts apply for the agreed duration. Pilot projects are limited in time.

The right to terminate the contract with immediate effect for good cause remains reserved.


12. Governing law and jurisdiction

Swiss law shall apply exclusively, to the exclusion of conflict of laws provisions.

Place of jurisdiction is Zofingen, Switzerland.
